Ingenic Semiconductor Secures 99.91% Shareholder Approval to Reallocate Surplus Proceeds at 2026 First EGM

Ingenic Semiconductor Co., Ltd. held its First Extraordinary General Meeting of 2026 on 22 September 2026 in Beijing, where shareholders overwhelmingly endorsed the company’s plan to finalize a previously funded investment project and permanently deploy the remaining proceeds as working capital.

A total of 1,255 shareholders and proxies attended, representing 102.29 million shares, or 19.86% of Ingenic’s 514.95 million shares in issue. The sole ordinary resolution—authorizing the completion of the investment project and the permanent use of surplus funds—received 102.20 million votes in favor (99.91%), 60,100 votes against (0.06%), and 29,400 abstentions (0.03%). No shareholder was required to abstain under Hong Kong Listing Rules, and no votes were excluded from tabulation.

Computershare Hong Kong Investor Services Limited acted as the scrutineer for H-share voting, while Beijing Zhonglun (Shenzhen) Law Firm confirmed that meeting procedures, attendee qualifications, and vote-counting complied with all relevant laws and Ingenic’s articles of association.

The resolution’s passage authorizes Ingenic Semiconductor to redirect surplus capital from the completed investment project to bolster its working capital base, enhancing financial flexibility as the company advances its semiconductor operations.
