China Ting Sets 29 May 2026 AGM; Seeks Approval for 20% Issuance Mandate and 10% Buy-Back Authority

China Ting Group Holdings Limited will convene its 2026 annual general meeting on Friday, 29 May 2026, at 10:30 a.m. at the China Ting Industrial Complex, Linping Industrial Area, Yuhang District, Hangzhou.

Key resolutions to be put before shareholders include:

1. Financial Reporting • Receive and consider the audited financial statements and the directors’ and auditor’s reports for the year ended 31 December 2025.

2. Board Composition and Remuneration • Re-election of Executive Directors Mr Ting Man Yi and Mr Ting Hung Yi, and Independent Non-Executive Director Ms Li Yuet Mui, Xera. • Authorisation for the board to set directors’ remuneration.

3. Auditor Appointment • Re-appointment of BDO Limited as external auditor until the next AGM, with the board authorised to fix its fee.

4. General Mandate to Issue Shares • Directors may allot, issue or deal with new shares—plus any sale or transfer of treasury shares—up to 20 % of the company’s issued share capital as at the date of the resolution. • The mandate includes the ability to grant options, warrants or convertible securities. • Exclusions apply to rights issues, employee share schemes and scrip dividends. • Authority remains in force until the earlier of the next AGM, the statutory deadline for holding the next AGM, or revocation by shareholders.

5. Share Repurchase Mandate • Authorises the company to repurchase up to 10 % of its issued shares (excluding treasury shares) on the Hong Kong Stock Exchange or other recognised venues during the same mandate period.

6. Extension of Issuance Mandate • The share-issuance limit will be increased by the number of shares actually repurchased under the 10 % buy-back authority.

Administrative Details • Share register closure: Tuesday, 26 May 2026 to Friday, 29 May 2026 (both days inclusive). • Record date for AGM voting rights: Friday, 29 May 2026. • Proxy forms must be lodged with Computershare Hong Kong Investor Services Limited by 10:30 a.m. on Wednesday, 27 May 2026.

As of the notice date (30 April 2026), the board comprises four executive directors—including Chairman Mr Ting Man Yi and CEO Mr Ting Hung Yi—and three independent non-executive directors.
