CATL Schedules 12 Aug 2026 EGM to Vote on Subsidiary Bond Mandate, A-Share Buyback and Governance Measures

Contemporary Amperex Technology Co., Limited (CATL) has issued a proxy form detailing four resolutions to be tabled at its first extraordinary general meeting (EGM) of 2026, set for 3:00 p.m. on 12 August 2026 at the company’s Technology Building in Ningde, Fujian Province.

1. General mandate for subsidiary bond issuance • Shareholders will consider authorising an unnamed subsidiary to issue bonds. The form does not specify the proposed ceiling or tenor but seeks a blanket mandate, implying the subsidiary could tap debt markets subject to regulatory requirements.

2. Remuneration framework for directors and senior management • The meeting will vote on adopting a “Management System for the Remuneration of Directors and Senior Management.” This seeks to formalise pay structures and oversight mechanisms for top executives and board members.

3. Approval for futures and derivatives trading • CATL proposes allowing its subsidiaries to engage in futures and derivatives transactions. The move would give operating units additional tools for hedging raw-material price volatility and financial risks.

4. A-share repurchase plan (special resolution) • The board is requesting shareholder approval for an A-share buyback programme. Details on size, price range and duration will be provided separately in line with regulatory disclosure rules.

Shareholders of CATL’s H shares may appoint proxies to vote on their behalf. Proxy forms and, where applicable, powers of attorney must reach Computershare Hong Kong Investor Services no later than 24 hours before the meeting. Joint holders may vote in person or via proxy, with precedence given to the first-named holder on the register.

Attendance at the EGM will not preclude shareholders from subsequently voting by poll, and proxies retain full discretion on any additional matters raised during the session if no specific voting instructions are provided.
