中康控股有限公司（2361）公告顯示，截至公告日期，公司公眾持股量為16.45%，低於香港上市規則規定的25%最低指定公眾持股量。主要原因在於約8.84%股本（即39,958,477股）由股份獎勵計劃受託人持有，並未計入公眾持股量。
公司稱，根據戰略發展及合資格參與者的績效表現，預計將於未來三年內分批授予所有尚未發放的股份獎勵。計劃包括每年向非核心關連人士授予不少於已發行股本2%的股份，並按照公司及承授人的多項標準綜合確定具體授予比例。
同時，公司計劃通過多種方式提升公眾持股量，主要包括完成股權融資及與主要股東洽談向獨立第三方出售部分持股。公司表示，預計在2025年度業績公布後便會與主要股東及潛在投資者展開溝通，並在2027年6月底前使公眾持股量提高不少於8個百分點。
根據公告，上述方式料可令公司在2027年6月底前符合上市規則第13.32B(1)條規定的25%最低公眾持股量要求。公司將繼續按規定按月刊發公告，提供公眾持股量及恢復計劃的最新進展。投資者交易時需保持謹慎。
