Sunho Biologics: Non-Executive Director Fan Rongkui to Leave Board on 22 July 2026; Trading Remains Suspended

Sunho Biologics, Inc. (SUNHO BIO-B) announced that Non-Executive Director Fan Rongkui will step down when his current service contract expires on 22 July 2026. The contract will not be renewed.

Mr. Fan confirmed he has no disagreement with the Board and is unaware of matters requiring shareholder attention, based on information available to him as of the announcement date. He noted that an independent investigation into certain matters is ongoing, and its findings have not yet been released.

The Board stated that Mr. Fan’s departure will not reduce the number of directors below the minimum stipulated in the company’s articles, and the Board will remain fully compliant with Hong Kong Listing Rules.

Trading in Sunho Biologics’ shares has been suspended since 9:00 a.m. on 1 April 2026 and will continue until the release of audited results for the year ended 31 December 2025. Shareholders and potential investors are advised to exercise caution and seek professional advice when dealing in the company’s securities.

As of the announcement date, the Board comprises two Executive Directors (Zhang Feng and Jiang Xiaoling), one Non-Executive Director (Fan Rongkui) and three Independent Non-Executive Directors (Chan Heung Wing Anthony, Feng Lan and Shi Luwen).
