China Environmental Technology Holdings Limited (China Env Tec) announced that it has received a High Court of Hong Kong judgment affirming the legality and enforceability of its 7.00 million-US-dollar Convertible Bonds issued in 2018 and due in 2021.
The judgment, delivered on 1 April 2026, declares the Subscription Agreement, the Convertible Bonds, their terms and conditions, and an associated Side Letter Agreement to be “valid and enforceable.”
The Court also issued a cost order nisi in favour of Sure Fast Enterprises Limited, awarding costs of the action and counterclaim—with certificate for two counsel—to be taxed if not agreed. The order will become absolute unless an application to vary it is filed within 14 days.
China Env Tec first disclosed plans for the Convertible Bonds on 16 May 2018, completed the subscription on 19 July 2018, and subsequently announced potential invalidity on 12 April 2019. The latest ruling resolves that uncertainty.
