China Netcom Technology: Executive Director Resigns; CEO Zhu Zhengyang Joins Board, Yang Xiao Named Non-Executive Director

China Netcom Technology Holdings Limited announced a board reshuffle effective 10 April 2026, involving the resignation of one executive director and the addition of two new directors.

Key changes • Executive director and compliance officer Ms. Wu Shan resigned and relinquished her roles as Authorised Representative and compliance officer. She cited the need to focus on other commitments, reported no disagreement with the board, and will not seek re-election at the upcoming AGM.

• Chief Executive Officer Mr. Zhu Zhengyang, 33, was appointed executive director and Authorised Representative. Zhu has led the company since 7 November 2025 and brings more than nine years of management experience at Tech-Bank Food, Shanghai Bonnie Zhilian Gene Technology, and Beijing Qichen Future Holding Group. His service agreement runs for an initial three-year term, renewable automatically. While Zhu will not receive separate director fees, his CEO compensation is HKD480,000 per year plus discretionary bonus and potential share-based incentives.

• Mr. Yang Xiao, 44, was named non-executive director on a three-year renewable term. Currently general manager and executive director of Qichen Guanzhen (Beijing) Investment Management, Yang has over 20 years in corporate strategy, investment, and legal functions. He will not receive director remuneration but remains eligible for discretionary bonuses and share-based awards.

Both new appointees hold Legal Professional Qualification Certificates and Securities Investment Fund Practitioner Certificates in China. The board expressed gratitude to Ms. Wu for her contributions and formally welcomed Mr. Zhu and Mr. Yang to their new roles.
