MOG Digitech Calls 26 June 2026 EGM to Approve Ten-Fold Increase in Authorised Share Capital

MOG Digitech Holdings Limited has issued a notice convening an extraordinary general meeting (EGM) for 11:15 a.m. on 26 June 2026 at Room 2, 14/F, Fairmont House, 8 Cotton Tree Drive, Central, Hong Kong.

The single ordinary resolution seeks shareholder approval to raise the company’s authorised share capital from HK$20.00 million (2.00 billion shares at HK$0.01 each) to HK$200.00 million (20.00 billion shares at HK$0.01 each) through the creation of 18.00 billion additional unissued shares. All newly created shares will rank pari passu with existing shares.

Subject to approval, any director or authorised officer will be empowered to execute the necessary filings and registrations in Hong Kong and the Cayman Islands to effect the capital increase.

Voting will be conducted by poll in accordance with Hong Kong Listing Rules. The share register will be closed from 23 June 2026 to 26 June 2026 (both days inclusive); shareholders must lodge transfers by 4:30 p.m. on 22 June 2026 to qualify for attendance and voting on the record date of 26 June 2026.

As at the notice date (4 June 2026), the board comprises three executive directors—Chen Yongzhong (chief executive officer), Deng Zhihua and Zhou Yue—and three independent non-executive directors—Yau Tung Shing, Chen Wen and Gao Hongxiang.
