Broncus schedules 14 May 2026 AGM, proposes director re-elections, 20% share issuance mandate and 10% buyback authority

Broncus Holding Corporation has circulated a proxy form detailing matters to be decided at its annual general meeting, set for 10:00 a.m. on 14 May 2026 at Room 801, 8/F, Building 8, No. 88 Jiangling Road, Binjiang District, Hangzhou. Key items on the agenda are as follows:

1. Financial statements: Shareholders will vote to receive and adopt the audited consolidated financial statements and the reports of the directors and auditor for the year ended 31 December 2025.

2. Board composition and remuneration: • Re-election of Mr. Ao Zhang and Ms. Yanhong Kuang as non-executive directors. • Authorisation for the board to fix directors’ remuneration.

3. Auditor: Proposal to re-appoint Ernst & Young as external auditor until the next AGM and to authorise the board to determine its remuneration.

4. Share capital mandates: • General mandate permitting directors to allot, issue or deal with shares— including sale or transfer of treasury shares—up to 20% of the company’s issued share capital (excluding treasury shares). • Authority to buy back shares up to 10% of issued share capital (excluding treasury shares). • Extension of the issuance mandate by the amount of shares repurchased under the buyback mandate.

5. Governance: Special resolution to approve amendments to the articles of association.

Shareholders wishing to vote by proxy must lodge completed forms with Computershare Hong Kong Investor Services Limited by 10:00 a.m. on 12 May 2026. Holders of treasury shares are not entitled to vote. A proxy need not be a shareholder.
