Flat Glass to Acquire 60% Stake in Shanghai Fulai Ruicheng for Approximately 60 Million Yuan

FLAT GLASS (06865) has announced that on August 5, 2026, it signed an equity transfer agreement with Yihe Investment. The company plans to acquire a 60% equity stake in Shanghai Fulai Ruicheng from Yihe Investment, with a total transaction price of approximately RMB 60.0399 million.

Upon completion of the acquisition, Shanghai Fulai Ruicheng will become a wholly-owned subsidiary of the company, and its financial data will be consolidated into the group's financial statements. On a strategic level, this acquisition will grant the company full strategic autonomy, allowing it to independently determine the research and development direction, market strategy, and resource allocation of Shanghai Fulai Ruicheng, thereby aligning it entirely with the group's overall strategy.

Furthermore, the limited synergies under the previous minority stakeholding status will be upgraded to full business integration. The research, development, and sales functions of Shanghai Fulai Ruicheng can be fully integrated into the company's existing business system, achieving a seamless transition from new material R&D to mass production. On an operational level, Shanghai Fulai Ruicheng focuses on new material technology R&D, and the sales of technical glass products, functional glass, and novel optical materials. Its R&D direction and pace can now be directly controlled by the company, ensuring that technological achievements are prioritized for its own product upgrades.
