1. 浙江同源康医药股份有限公司（02410，以下简称“同源康医药-B”）9月20日公告称，公司与齐鲁医药就发行63,222,744股H股的认购协议已于2026年9月20日届满失效。
2. 该认购事项原披露于2026年7月21日及2026年8月20日的公告，并需在经修订最后截止日期前满足或豁免若干先决条件方可完成。由于截至最后期限相关条件仍未成就，且双方同意不再延长期限，认购协议依据条款自动终止。
3. 协议终止后，除任何先前已产生的违约责任外，双方不再承担其他义务。此前公告所涉及的许可及合作协议、供应及商业化协议继续有效，双方将按既定条款履行。
4. 同源康医药-B董事会表示，认购协议失效不会对集团的业务运营及财务状况造成重大不利影响。双方仍保持未来股份发行认购的合作意愿，相关细节仍在磋商中，公司将按照香港联交所《上市规则》适时披露后续进展。
5. 本次公告由同源康医药-B董事长、执行董事兼总裁吴豫生博士代表董事会发布，日期为2026年9月20日。
