WANG ON GROUP（01222）8月21日公告称，公司拟于2026年9月11日11时在香港中环皇后大道中16-18号新世界大厦1期17楼1710-1711室举行股东特别大会，审议并酌情通过以下普通决议：批准、确认及追认一份有条件买卖协议和一份担保协议及其项下拟进行的交易，并授权董事会处理相关事宜。 \n\n根据公告，买卖协议由卖方萊匯有限公司与买方深圳市鸿庆实业发展有限公司于2026年7月16日签订，交易标的为冠尊（深圳）商贸发展有限公司全部已发行股本。该公司持有位于深圳市坪山区坪山街道大工业区1号路6号的物业，包括一幅地盘面积约11,026.83平方米（118,691平方呎）的地块（编号G12204-0252）及一幢厂房和两幢宿舍楼。 \n\n担保协议由Wai Yuen Tong Medicine Holdings Limited与买方签订，担保金额上限为人民币100,000,000元（约115,680,000港元），用以担保卖方在买卖协议项下的责任。 \n\n股份登记方面，公司将于2026年9月8日至9月11日（包括首尾两日）暂停办理股份过户手续，9月11日为确定股东出席股东特别大会并于会上投票资格的记录日期。持股股东可委任一名或多名代表出席并投票；代表委任表格需最迟在大会召开48小时前送达公司香港股份过户及转让登记分处。
