冠忠巴士集团有限公司于2026年6月1日披露截至2026年5月31日的股份变动月报。报告期内，公司注册股本和已发行股份数均保持不变，股本结构未发生新增发行、购回、注销或库藏股等变动。
根据公告披露，报告期内公司的法定股本总额为港币60,000,000元，对应注册股份数600,000,000股，每股面值港币0.1元；截至本月末，已发行股份总数为476,776,842股，与上月底保持一致。公司确认其符合香港联交所关于上市发行人的最低公众持股量要求。
在股权激励方面，公司尚有两项股份期权计划，分别涉及行使价格为每股港币4.3元的13,500,000份已授出但未行使期权，以及行使价格为每股港币1.86元的28,500,000份已授出但未行使期权；其中并无新授出、行使、取消或失效的数据变动。报告期内公司未进行任何购回或注销股份。
公司表示，无论是本月内的证劵发行、库藏股处置还是转让行为，均已遵守香港联交所《上市规则》及其他适用法律法规。本次公告由公司董事卢文波签署。
