公告显示，2025年11月，公司全资子公司南通海峡国际贸易有限公司与香港海峡石油化工有限公司通过代理，与独立第三方供应商签订框架合同，计划于2026年分批合计采购约165万桶瀝青产品，作为道路瀝青原料在中国内地销售。
在执行过程中，进口地海关查验时间延长且产品归类未达预期，导致销售成本攀升。同时，中东地缘政治冲突突然爆发，引发运输费用上升、原油价差飙升及内地需求转弱，综合因素使交易利润遭受明显侵蚀。公司综合考虑买卖价差、仓储滞期费及对冲安排后，预估将产生约1,070万美元亏损。
海峡石油化工称，集团将继续处理该交易后续事宜，并完善商品进口合规流程，密切关注国际局势变化，进一步提升风险管理水平。
根据公司申请，其股份自2024年12月31日9时起在港交所停牌，并将继续停牌至另行通知。公司提醒股东及潜在投资者在买卖股份时保持审慎。
