Agile Group Updates Corporate Constitution with Fourth Amended & Restated Articles

Agile Group Holdings Limited (Agile Group) has adopted its Fourth Amended and Restated Articles of Association, formalised by special resolution at the 3 June 2026 annual general meeting and filed on 5 June 2026 with the Cayman Islands Registrar of Companies.

Key points

• Governance framework – The revised Articles consolidate all prior amendments, establishing a comprehensive framework that covers share capital management, shareholder rights, electronic meeting provisions, directors’ powers, borrowing limits, dividend policy and winding-up procedures.

• Share capital flexibility – The company may repurchase its own shares, hold treasury shares and provide financial assistance for share purchases, subject to Cayman Islands law and Hong Kong Listing Rules.

• Electronic participation – Hybrid and fully virtual general meetings are expressly permitted. Members can vote electronically, and electronic communications (including website publication) are recognised as valid notice.

• Uncertificated securities regime – The Articles accommodate Hong Kong’s Uncertificated Securities Market (USM) Rules, enabling Agile Group shares to be issued, held and transferred electronically through recognised clearing systems.

• Board authority – Directors retain broad powers to manage the business, create committees, delegate duties, raise finance, issue securities and authorise capitalisation of reserves.

• Enhanced shareholder safeguards – Matters such as amendments to the Memorandum and Articles, name changes and certain corporate actions continue to require special resolutions. Shareholder inspection rights and procedures for untraceable members are clarified.

• Audit and financial reporting – Annual financial statements must be audited and made available to members, with the financial year ending 31 December.

These revisions are designed to modernise corporate governance, align with updated regulatory requirements in Hong Kong and the Cayman Islands, and provide greater operational flexibility for Agile Group and its shareholders.
