Nameson Holdings secures HK$262.93 million three-year loan; Wong family required to retain majority control

Nameson Holdings Limited on 19 August 2026 signed a facility letter with an unnamed bank for a three-year term loan facility of up to HK$262.93 million.

The financing agreement contains a specific performance covenant stipulating that founder Mr. Wong Ting Chung and/or his family members must maintain at least a 50% equity stake and continue to exercise majority management control over the company.

As of the announcement date, Mr. Wong Ting Chung directly owns 200 million shares, and together with Mr. Wong Ting Chun and Mr. Wong Ting Kau, holds indirect interests in a further 1.50 billion shares through Nameson Investments Limited. The aggregated holding equals approximately 74.6% of Nameson’s issued share capital, comfortably above the 50% threshold set by the lender.

Any breach of the shareholding or control requirement will constitute an event of default, rendering all outstanding principal and interest under the facility immediately due and payable.

Nameson has committed to include ongoing disclosure of this covenant in its interim and annual reports in accordance with Hong Kong Listing Rule 13.21.
