Liaoning Port Co., Ltd. announced that its board, at a meeting on 18 September 2026, approved resolutions to nominate two new members to the eighth session of the Board. The proposals will be tabled for shareholder approval at the forthcoming general meeting.
Executive leadership: Liu Cheng, born in 1972 and currently General Manager of Liaoning Port, is slated to become an Executive Director. Liu, an engineer by training, has held senior operational roles across Panjin, Yingkou and Dandong port entities within the group and holds a master’s degree in engineering management from Dalian Maritime University.
Independent oversight: Dr. Yin Weimin, also born in 1972, is nominated as an Independent Non-Executive Director (INED). A professor and doctoral supervisor at the Law School of Dalian Maritime University, Dr. Yin meets all independence criteria under Rule 3.13 of the Hong Kong Listing Rules and has no financial or other ties with the company’s core connected persons.
Remuneration: The company will not pay Liu Cheng any director’s emolument. Dr. Yin will receive an annual fee of RMB0.20 million (before tax) for her INED role, in line with the company’s remuneration policies.
Board composition changes: Upon Dr. Yin’s election becoming effective, incumbent INED Jiao Guangjun will cease to serve on the Board and its committees.
Both nominees confirm they hold no shares in Liaoning Port, maintain no relationships with existing directors or major shareholders, and have not served as directors of other listed companies in the past three years.
