American spirits maker Sazerac announced on Monday a full takeover offer for German peer Berentzen at €5.55 per share (approximately $6.37), revealing that the acquisition plan has already gained the backing of Berentzen's supervisory board and executive board.
The German spirits producer had confirmed last Thursday that it was in talks with privately held Sazerac regarding a potential acquisition. Sazerac, headquartered in Louisville, Kentucky, has consistently pursued a strategy of acquiring emerging brands and underperforming labels from large conglomerates to expand its business beyond domestic markets.
Berentzen shares closed at €4.53 last Friday. The company is expected to be delisted following the completion of the acquisition, with Sazerac projecting the deal to close in the fourth quarter.
Where to begin
The offer price represents a substantial premium of approximately 22.5% over Berentzen's last closing price, reflecting Sazerac's confidence in the strategic value of the acquisition. For Berentzen shareholders, the proposal presents a clear exit opportunity at an attractive valuation, while the company's leadership has signaled its endorsement of the deal.
Why this deal stands out
This transaction underscores the ongoing consolidation trend in the global spirits industry, where larger players are increasingly seeking to diversify their portfolios through strategic acquisitions. Sazerac's move into the German market via Berentzen aligns with its broader growth strategy of leveraging established local brands to strengthen its international footprint, a pattern that has defined its expansion playbook in recent years.
