China Qinfa Group Schedules 16 June 2026 AGM, Proposes Director Re-elections and New Share Mandates

China Qinfa Group Limited will hold its 2026 annual general meeting at 11:00 a.m. on 16 June 2026 in Meeting Room 6+7, Level 2, InterContinental Guangzhou Exhibition Center, Guangzhou.

Key agenda items:

1. Financial Reporting • Shareholders will vote on adopting the audited consolidated financial statements and the directors’ and auditors’ reports for the year ended 31 December 2025.

2. Board Composition and Remuneration • Independent non-executive directors Prof. Sha Zhenquan, Mr. Ho Ka Yiu Simon and Mr. Long Yufeng are standing for re-election. • The board seeks authority to determine directors’ remuneration.

3. Auditor Appointment • Moore CPA Limited is nominated for re-appointment as external auditor, with the board authorised to fix its remuneration.

4. Share Capital Authorities • Share Repurchase Mandate: Directors request authority to repurchase up to 10% of the company’s issued share capital (excluding any treasury shares) during the mandate period. • Issuance Mandate: Directors seek authority to allot and issue shares— or securities convertible into shares—of up to 20% of issued share capital (excluding treasury shares), excluding rights-issue-type transactions and existing employee option schemes. • Extension Mandate: The aggregate issuance limit may be increased by the number of shares repurchased under the buy-back mandate, capped at an additional 10% of issued share capital.

Administrative Details • Shareholders recorded on the register between 9–16 June 2026 (both days inclusive) are eligible to attend and vote. Share transfer documents must be lodged by 4:00 p.m. on 8 June 2026. • Proxy forms must be submitted to Union Registrars Limited at least 48 hours before the meeting. • No physical souvenirs or refreshments will be provided.

As of the notice date (28 April 2026), the board comprises four executive directors—Chairman Xu Da, CEO Bai Tao, Zhai Yifeng and Deng Bingjing—and three independent non-executive directors—Prof. Sha Zhenquan, Mr. Ho Ka Yiu Simon and Mr. Long Yufeng.
