Gameone Completes Internal Control Remediation Following Discloseable Transaction Issues

Gameone Holdings Limited confirmed on 22 May 2026 that a comprehensive internal control review has been finalised and all remedial measures pledged in its 29 April 2026 announcement have been fully implemented.

The company reported that:

1. Governance Training • The first round of GEM Listing Rules training, led by external legal advisers, was completed on 21 May 2026 and covered Chapters 19 and 20 (Notifiable and Connected Transactions). Refresher sessions are scheduled every six months.

2. New Compliance Guidelines • Compliance Management Guidelines for Notifiable Transactions were issued across the group on 14 May 2026. The document standardises identification standards, size-test calculations, approval flows and disclosure requirements, with ongoing updates tied to rule changes.

3. Size-Test Controls • A standardised size-test template was finalised on 14 May 2026. Any transaction of at least HK$1.50 million now triggers a mandatory review by the finance manager, followed by clearance from the company secretary and legal advisers before board approval.

4. External Advisory Mechanism • The firm instituted a formal process requiring timely consultation with external counsel and, where necessary, the Stock Exchange on transactions that could constitute notifiable or connected dealings. All consultations will be logged and retained for a minimum of five years.

5. Ongoing Monitoring • Accounting staff must submit monthly transaction reports; the finance manager performs quarterly compliance reviews; and the board conducts an annual internal-control assessment. A self-inspection up to 31 December 2025 found no further compliance breaches beyond those already disclosed.

The board, including independent non-executive directors, concluded that the revised internal control system is “adequate and effective” and capable of preventing similar non-compliance in future.

Additional Disclosure • English names of the three transferors involved in the earlier transactions were provided: Zhang Lili, Guan Huiming and Ji Xiao.

Gameone stated it will continue to monitor and refine its control environment as business needs and regulatory requirements evolve.
