POWERLONG Calls 12 June 2026 EGM to Approve 18-Month Mandatory Convertible Bonds and Exchange of 208.30 Million Powerlong CM Shares

Powerlong Real Estate Holdings Limited has issued a notice convening an Extraordinary General Meeting (EGM) for 12 June 2026 at 10:30 a.m. (or immediately after the 10:00 a.m. Annual General Meeting) at Le Meridien Shanghai Minhang, Shanghai.

The single ordinary resolution to be tabled seeks shareholder approval for four key items:

1. Issue of Mandatory Convertible Bonds • Tenor: 18 months from the original issue date. • Instrument: Bonds convertible into ordinary shares of Powerlong in accordance with bond terms detailed in the accompanying circular (dated 28 May 2026).

2. Transfer of Exchange Shares • Volume: 208.30 million Powerlong CM shares. • Purpose: To settle all or part of scheme creditors’ claims at their election. • Exchange price: HK$15.00 per share, subject to adjustment. • Condition: Transfer to occur upon the restructuring effective date under the Restructuring Support Agreement (RSA).

3. Director Authorisation • Any one director (or any two directors if affixing the common seal) may execute all documents and take necessary actions to complete the bond issuance, share transfer and related transactions, including amendments or waivers deemed in the company’s interest.

4. Specific Mandate • Directors will receive a mandate to allot, issue and deal with the conversion shares arising from the mandatory convertible bonds.

Shareholders wishing to attend or vote by proxy must lodge completed proxy forms with the Hong Kong branch share registrar, Computershare Hong Kong Investor Services Limited, no later than 48 hours before the meeting. The proxy need not be a shareholder but must attend the EGM in person to vote.

Completion and return of the proxy form will not preclude shareholders from attending and voting at the EGM in person, in which case the proxy authority will be revoked.
