China Metal Resources Utilization Limited (CMRU) has scheduled an Extraordinary General Meeting (EGM) for 3:00 p.m. on 26 June 2026 at Units 5906–5912, 59/F, The Center, 99 Queen’s Road Central, Hong Kong.
The sole ordinary resolution proposes the appointment of Mr. Yau Pak Yue as an independent non-executive director, with the board authorised to set his remuneration. Voting will be conducted by poll in accordance with Article 66 of the company’s articles of association.
Shareholders intending to vote must be on the register of members as of 26 June 2026. The register will be closed from 23 June 2026 to 26 June 2026 (both dates inclusive). Share transfer documents must be lodged with Computershare Hong Kong Investor Services Limited by 4:30 p.m. on 22 June 2026 to qualify for attendance and voting rights.
Proxy appointments are permitted; shareholders holding two or more shares may designate multiple proxies, who are not required to be shareholders. For jointly registered shares, the vote will be exercised by the joint holder whose name appears first in the register.
As of the notice date (5 June 2026), the board comprises four executive directors—Mr. Yu Jianqiu (Chairman), Mr. Kwong Wai Sun Wilson, Mr. Gao Qiang and Ms. Zhu Yufen—and three independent non-executive directors—Mr. Li Wei, Mr. Fang Guanghua and Mr. Yu Rengzhong.
