江苏宁沪高速公路股份有限公司（00177）9月16日晚间公告，公司于2026年9月15日收到控股股东江苏交通控股有限公司（简称“江苏交控”）发来的《权益变动的告知函》。函件显示，江苏交控全资子公司江苏云杉资本管理有限公司（简称“云杉资本”）在2026年1月22日至2026年9月14日期间，通过上海证券交易所港股通交易系统以集中竞价方式增持公司H股49,856,000股，占公司总股本的0.99%。
本次增持后，江苏交控及其一致行动人合计持有公司2,922,118,825股，持股比例由57.01%提高至58.00%，触及1%整数档。
其中，云杉资本的直接持股由增持前的12,915.4000万股（占比2.56%）增长至17,901.0000万股（占比3.55%），全部增持资金来自其自有资金。
公告强调，本次权益变动未触发强制要约收购义务，也未导致公司控股股东及实际控制人变更。江苏交控及其一致行动人表示，未来将视自身情况及市场窗口机会，继续择机增持公司H股股份。公司将持续关注相关权益变动，并督促信息披露义务人严格履行披露责任。
