Raymond Industrial Grants 14.10 Million Share Options Under 2024 Scheme

Raymond Industrial Limited has issued 14.10 million share options on 26 August 2026 under its 2024 Share Option Scheme. The allocation is structured as follows: 3.50 million options to nine directors, 0.85 million options to three external service providers supporting the Group’s cybersecurity and digital‐transformation initiatives, and 9.75 million options to employees.

The exercise price is fixed at HK$0.79 per share, representing the higher of the 26 August 2026 closing price (HK$0.77) and the five-day average closing price (HK$0.79). All options are exercisable for 10 years from the grant date and will fully vest on the first anniversary of each grantee’s acceptance.

No performance targets apply; the remuneration committee views the grant as recognition of past contributions and an incentive for future performance. A clawback clause enables the Board to cancel or reclaim options in cases such as financial misstatement or misconduct. The Group has provided no financial assistance to facilitate option exercises.

Independent non-executive directors approved the awards to executive and non-executive directors, while the remaining directors approved grants to independent non-executive directors, satisfying Listing Rule 17.04(1).

Post-grant, 36.03 million shares remain available for future awards under the scheme’s overall mandate limit, with 4.16 million shares reserved under the service-provider sub-limit.
