大众公用（01635）斥资1.5亿元参与设立20,100万元私募基金

上海大众公用事业（集团）股份有限公司（01635）7月30日公告称，公司第十三届董事会第二次会议已于2026年7月29日以通讯方式召开，9名董事全部出席，会议合法有效。董事会审议并以7票同意、0票反对、0票弃权的表决结果，通过了《关于投资私募基金暨关联交易的议案》。

根据决议，公司将与联营公司大众交通（集团）股份有限公司及北京律动私募基金管理有限公司共同签署《合伙协议》，设立无锡律曜创业投资合伙企业（有限合伙）。该合伙企业认缴出资总额为人民币20,100万元，其中：

1. 大众公用作为有限合伙人认缴出资人民币15,000万元，出资比例74.6269%； 2. 大众交通作为有限合伙人认缴出资人民币5,000万元，出资比例24.8756%； 3. 北京律动作为普通合伙人、执行事务合伙人及基金管理人认缴出资人民币100万元，出资比例0.4975%。

合伙企业的投资方向为以股权方式投资于战略性新兴信息技术等行业。

鉴于大众交通为大众公用的联营公司，且大众公用董事局主席杨国平及执行董事、总裁梁嘉玮同时在大众交通担任董事，上述交易构成关联交易。相关关联董事已在表决时回避。

本议案此前已通过第十三届董事会审计委员会第二次会议及第十三届董事会2026年第一次独立非执行董事专门会议的事前审议。
