凌锐控股（00784）发布公告称，董事会已建议向股东大会申请购回公司已发行股份的授权。根据公告，公司目前已发行股本总数约为8亿股，若有关授权获正式通过，公司拟于授权期间内回购最多不超过于股东大会通过相关决议当日公司已发行股份总数（不包括库存股份，如有）10%的股份，相当于最多约8000万股。董事表示，相关购回资金将主要使用公司内部资源，遵循香港联合交易所有限公司证券上市规则及开曼群岛相关法律。
公告中指出，本次购回若获准，董事将在认为符合公司和股东最佳利益的前提下，适时决定购回股份的规模和具体方式。公司管理层认为，股份购回有助于提升股东回报和优化资本结构。历史数据显示，截至最后可行日期，凌锐控股已上市股份交易价格最高为1.35港元，最低为0.052港元（自2024年7月至2026年8月3日）。
公司董事会同时宣布，股东周年大会定于2026年8月31日上午10时在香港湾仔皇后大道东248号大新金融中心35楼举行。公司将于8月26日至8月31日期间暂停办理股份过户及股东登记，以确定股东大会的出席及表决资格。股东如有意向，请注意相应日期安排，并于2026年8月25日下午4时30分前办理相关过户登记手续。董事会呼吁符合资格的股东积极行使表决权。
