HM International Sets 8 May 2026 AGM; Seeks 10% Share Buy-back and 20% Issuance Mandates, Plans Director Re-election and Auditor Renewal

HM International Holdings Limited will convene its 2026 annual general meeting (AGM) on 8 May 2026 (Friday) at 11:00 a.m. at 35/F, Dah Sing Financial Centre, Wan Chai, Hong Kong.

Key resolutions up for shareholder approval:

1. Director re-election • Executive Chairman Mr Yu Chi Ming and Executive Director/Chief Operations Officer Ms Chan Wai Chung Caroline will retire by rotation and seek re-election. • Mr Yu, a 30-year veteran of the printing industry, controls 51.67% of issued shares through HM Ultimate Holdings. • Ms Chan, in charge of daily operations since 2015, holds 2.54% of the Company’s shares.

2. Share Buy-back Mandate • Board requests authority to repurchase up to 10% of issued shares, equivalent to 42.14 million shares based on the current 421.42 million shares outstanding. • Repurchased shares may be cancelled or held as treasury stock in line with revised GEM Listing Rules effective 11 June 2024. • Directors state they have no immediate plan to execute buy-backs.

3. Share Issuance Mandate • Proposal to authorise the Board to allot or deal with additional shares up to 20% of issued capital (84.28 million shares), inclusive of potential resale of treasury shares. • A supplementary resolution seeks to extend this limit by the number of shares actually repurchased under the buy-back mandate.

4. Auditor Re-appointment • HLB Hodgson Impey Cheng Limited is nominated to continue as external auditor until the next AGM, with remuneration determined by the Board.

Administrative details:

• Share transfer deadline: 4 May 2026 (4:30 p.m.). • Register of members closure: 5–8 May 2026 (both dates inclusive). • Proxy submission cut-off: 11:00 a.m., 6 May 2026. • All AGM resolutions will be decided by poll.

If approved, the buy-back and issuance mandates will remain effective until the earlier of the next AGM, the statutory deadline for holding that meeting, or revocation by shareholders.
