XXF Maintains 1.86 Bln Issued Shares in July; No New Equity Raised, Public Float Compliant

XXF Group Holdings Limited filed its Monthly Return for the period ended 31 July 2026, confirming that its capital structure remained unchanged during the month.

The company’s authorised share capital stayed at HKD 40.00 million, representing 12.00 billion ordinary shares with a par value of HKD 0.003333333333 each. Issued share capital was steady at 1.86 billion shares, and the firm held no treasury stock.

XXF reported zero share issuances, cancellations, or buybacks in July, and therefore raised no new funds from equity activities. Compliance with the Hong Kong Stock Exchange’s minimum 25 % public-float requirement was affirmed.

Under the Pre-IPO Share Option Scheme adopted on 9 October 2023, 0.84 million options lapsed, reducing outstanding options to 95.19 million. The post-IPO Share Option Scheme, also approved on 9 October 2023, had no options outstanding or granted as at month-end, leaving headroom for up to 154.69 million potential future grants.

No warrants, convertible securities, or other share-issuance agreements were outstanding or executed during the month.
