International Business Settlement Holdings Limited (IB Settlement) announced that all six ordinary resolutions tabled at its Annual General Meeting on 12 August 2026 were approved by poll, with near-unanimous or unanimous shareholder backing.
The audited financial statements for the year ended 31 March 2026, together with the reports of directors and independent auditors, received full support, attracting 15.33 billion votes in favour and none against.
Board composition remains unchanged after shareholders re-elected independent non-executive directors Chen Lanran and Wong Kin Ping, and authorised the board to determine directors’ remuneration; each proposal secured 100% of votes cast, representing 15.33 billion shares.
Rongcheng (Hong Kong) CPA Limited was re-appointed as independent auditor with 99.99% approval (15.33 billion votes for, 1.07 million against), and the board was authorised to fix its remuneration.
Shareholders also renewed capital management flexibilities: • Issuance mandate – up to 20% of issued share capital: 99.99% approval (15.33 billion votes for, 1.07 million against). • Share repurchase mandate – up to 10% of issued share capital: 100% approval (15.33 billion votes for, none against). • Extension of issuance mandate by the amount of shares repurchased: 99.99% approval (15.33 billion votes for, 1.07 million against).
The meeting saw eligible participation based on the company’s 23.10 billion issued shares, with no shareholders required to abstain or restricted from voting. All directors attended the meeting, and Tricor Investor Services Limited acted as scrutineer.
