ZYBANK (01216) has announced that Mr. Guo Hao, the bank's Chairman and Executive Director, submitted his resignation to the board on April 21, 2026, due to a work reassignment. He stepped down from his positions as Chairman, Executive Director, Chairman of the Board's Strategic Development Committee, and the bank's authorized representative under Rule 3.05 of the Hong Kong Listing Rules. Mr. Guo's resignation became effective upon the board's receipt of his resignation letter on April 21, 2026. Following his departure, he no longer holds any position at the bank.

On April 21, 2026, Mr. Zhou Feng was elected as the new Chairman of the bank and Chairman of the Strategic Development Committee at a board meeting. His appointment as Chairman of the Strategic Development Committee is effective from the date of this announcement, while his appointment as Chairman is contingent upon approval from the National Financial Regulatory Administration's Henan bureau. Mr. Zhou will serve in these roles until the conclusion of the current term of the bank's third board of directors and is eligible for re-election thereafter. Effective April 21, 2026, Mr. Zhou has stepped down from his position as Vice Chairman of the bank. He has also succeeded Mr. Guo as the authorized representative under Hong Kong Listing Rule 3.05, effective from the same date.

Concurrently, due to work adjustments, Mr. Zhou Feng has relinquished his role as President of the bank, effective April 21, 2026. On that date, the board reviewed and approved the appointment of Mr. Zhang Tao as the new President and proposed his appointment as an Executive Director on the third board of directors. Mr. Zhang's appointment as President is subject to approval from the Henan financial regulatory bureau. His proposed appointment as an Executive Director requires approval from shareholders at a general meeting and subsequent regulatory approval.
