Dongjiang Environmental Company Limited announced that shareholder Jiangsu Soho High Hope Group Co., Ltd. has formally nominated Ms. Hu Ruifang, 53, for election as a non-executive director on the company’s eighth-session Board. The proposal will be submitted to shareholders for approval at an upcoming general meeting.
Ms. Hu is a university graduate with a bachelor’s degree and holds professional qualifications as an accountant, auditor and economist. Her career spans senior posts across finance, investment and corporate management, including roles as chief financial officer and deputy general manager of Changzhou Zhonghai Plastic Technology, chairman of Liaoning Litian New Materials, and director and general manager of Shanghai-listed Soho High Hope (stock code: 600981). She brings extensive experience in capital management, industrial investments and corporate governance.
If approved, Ms. Hu’s term will run from the date of shareholder endorsement until the end of the current Board’s tenure. The appointment agreement stipulates that she will not receive remuneration for her Board role, and she currently holds no shares in Dongjiang Environmental or its associated companies under Hong Kong’s Securities and Futures Ordinance.
The Nomination Committee has reviewed the Board’s structure—covering factors such as gender, age, professional background and expertise—and supports Ms. Hu’s candidacy, citing her financial and managerial acumen as additive to Board diversity and strategic oversight.
Dongjiang Environmental’s Board presently consists of three executive directors (Wang Bi’an, Li Xiangli, Zhu Lintao), one non-executive director (Liu Xiaoxuan) and three independent non-executive directors (Lee Kwok Tung Louis, Li Jinhui, Xiang Ling). Ms. Hu’s inclusion would expand the Board to eight members and increase the number of non-executive directors to two.
A circular detailing Ms. Hu’s proposed appointment will be dispatched to shareholders in due course, ahead of the general meeting vote.
