SOFT INTL has issued a supplemental announcement to its Annual Report for the year ended 31 December 2025, providing additional governance and compliance details.
The Board’s independent non-executive directors confirmed that FY2025 involved no circumstances leading to conflicts of interest between the Group and its controlling shareholder.
Regarding sanctions compliance, the Group reported zero new or existing business activities that would breach international sanctions laws. A Sanctions Oversight Committee—established as disclosed on page 33 of the 2025 Annual Report—met twice during FY2025 to monitor related internal controls.
Key risk-mitigation measures include: • A designated bank account for IPO net proceeds, overseen by the finance manager and monitored by the Committee. • A real-time sanctions control list covering countries, regions, persons and entities, maintained through external data feeds and supplemented by annual updates from external legal advisers. • Committee-level review of existing and potential customers against the control list.
The Sanctions Oversight Committee concluded that the internal control framework is adequate and effective, and the Board reiterates that the Group has no current intention to engage in activities involving sanctioned parties or jurisdictions.
All other information in the 2025 Annual Report remains unchanged.
