Huaqin Technology to Acquire 5% Stake in Nexchip for 2.65 Billion Yuan

Huaqin Technology (03296) has announced that on April 28, 2026, the company and its subsidiary Hefei Qinhe entered into a share transfer agreement with Powerchip Venture Capital. Under the agreement, Hefei Qinhe conditionally agreed to purchase, and Powerchip Venture Capital conditionally agreed to sell, 100.4 million target shares (representing approximately 5.0% of Nexchip's total issued share capital as of the announcement date) for a total cash consideration of 2.651 billion yuan (equivalent to 26.41 yuan per share). Nexchip Semiconductor Corporation is a joint-stock company incorporated in China, with its A-shares listed on the Shanghai Stock Exchange's STAR Market (stock code: 688249). Nexchip is a 12-inch pure-play wafer foundry, operating at a critical node in the global semiconductor value chain. The proposed acquisition reflects the group's confidence in Nexchip's future development prospects and recognition of its long-term investment value. Through the proposed acquisition and the group's commitment to holding Nexchip shares long-term, the group intends to deepen resource integration and synergies across the industrial chain's upstream and downstream sectors. It also aims to use this opportunity for key strategic investment deployment, further exploring possibilities for cooperation in various business areas and projects, including industrial investment, to enhance the group's overall competitiveness and market position.
