东曜药业-B（01875）与药明合联生物技术有限公司（2268，以下称“药明合联”）17日联合公告，药明合联就东曜药业-B全部已发行股份及尚未行使购股权提出的自愿有条件现金要约，已满足所有生效条件并转为无条件。 截至2026年3月17日16:00，要约人已收到涉及463,672,734股要约股份的有效接纳，占东曜药业-B已发行股本及投票权约60.00%，达到原定不少于60%的接纳条件。同时，购股权要约亦收到6,512,600份购股权的有效接纳，占未行使购股权总额约85.33%。 根据香港《公司收购及合并守则》第15.3条规定，要约在无条件后须至少维持14日可供接纳。除非后续进一步修订或延长，要约将继续开放至2026年3月31日16:00；就该日或之前接纳要约所应支付的款项，将最迟于2026年4月14日前以现金形式寄发支票。 公告提醒意欲接纳要约的股东及购股权持有人，须留意中央结算系统指示时间及极端天气情况下的安排；如有疑问，应咨询专业顾问。 药明合联及其一致行动人士在要约期开始前並未持有东曜药业-B股份或购股权，也未于要约期内额外取得相关证券（代表非全权投资客户持有的股份除外）。
