FIH Mobile Trims Outstanding Shares by 0.09 % in June while Maintaining Public-Float Compliance

Bulletin Express
Jul 03

FIH Mobile Limited disclosed its Monthly Return for June 2026, highlighting a modest reduction in its outstanding share base and an increased inventory of treasury shares, with no change to authorised capital.

Authorised Capital Unchanged • Authorised share capital held steady at USD 800.00 million, equivalent to 2.00 billion ordinary shares at USD 0.40 par value each. • No new shares were authorised or cancelled during the month.

Issued vs. Treasury Shares • Outstanding (non-treasury) shares fell by 706,800 to 782.01 million, a 0.09 % month-on-month decline. • Treasury shares rose by the same 706,800 to 6.44 million, lifting the treasury stock proportion to roughly 0.82 % of total issued shares (788.45 million). • Total issued shares, including treasury stock, remained unchanged at 788.45 million.

Drivers of Change • Share buy-backs: Between 8 June and 30 June, the company repurchased 1.04 million shares, all of which were retained as treasury stock. • Share scheme transfer: On 5 June, 333,200 treasury shares were transferred to a trustee under the 19 May 2023 share scheme—partly as vested, partly as unvested award shares. • Net effect: Repurchases minus the treasury transfer resulted in the 706,800-share reduction in public float.

Equity Incentive Capacity • No new shares were issued via the May 2023 Share Option Scheme; outstanding options remain at zero, while the scheme still allows for up to 56.58 million shares to be granted. • Under the separate Share Scheme, 19.07 million shares remain available for future issuance or transfer.

Liquidity Compliance • FIH Mobile confirmed that its public float continues to satisfy the Hong Kong Stock Exchange’s minimum 25 % free-float requirement as at 30 June 2026.

Capital Movements and Funding • The company did not issue any new shares, dispose of treasury shares for cash, or raise funds during the month.

The filing was authorised by Company Secretary Vanessa Wong Kin Yan and submitted to Hong Kong Exchanges and Clearing Limited on 3 July 2026.
