香港联丰物产有限公司（要约人）与亚洲富思集团控股有限公司（亚洲富思）联合公告称，此前提出的自愿现金部分要约因先决条件未达成已正式失效。
公告显示，该部分要约由天风国际证券与期货有限公司及申万宏源融资（香港）有限公司代表要约人提出，拟收购亚洲富思最多7.553亿股要约股份，且附有先决条件，需于2026年6月11日（先决条件最后截止日）或之前达成。
截至2026年6月11日，要约的先决条件(b)及(c)未获达成（或豁免），且先决条件最后截止日未获延长。基于此，部分要约已于当日失效，综合文件将不会寄发。
根据收购守则相关规则，自部分要约失效之日起12个月内，要约人及任何与其一致行动的人士，或其后与彼等一致行动的人士，不得宣布对亚洲富思作出要约（包括可能导致要约人持有30%或以上投票权的部分要约），亦不得取得亚洲富思任何投票权以致触发收购守则项下的要约义务。
公告同时提醒，股东及潜在投资者在买卖亚洲富思股份时应审慎行事，如有疑问可咨询专业顾问。
