Grandshores Technology Group Limited (GRANDSHORES) announced that every motion tabled at its Annual General Meeting (AGM) on 21 September 2026 was passed by poll with 100% of votes cast in favour and none against.
A total of 366.18 million shares were voted on each of the six ordinary resolutions, representing approximately 30.63% of the company’s 1.20 billion issued shares. Tricor Investor Services Limited acted as scrutineer for the poll.
Key resolutions approved:
1. Adoption of the audited consolidated financial statements and the reports of the directors and auditors for the financial year ended 31 March 2026.
2. Re-election of directors: • Mr Yao Zeqian (Non-Executive Director) • Ms Yu Zhuochen (Non-Executive Director) • Mr Chu Chung Yue, Howard (Independent Non-Executive Director) The Board was also authorised to determine directors’ remuneration.
3. Re-appointment of McMillan Woods (Hong Kong) CPA Limited as external auditor, with authority granted to the Board to fix its remuneration.
4. Granting of a general mandate allowing the Board to allot, issue and deal with additional shares— including sale or transfer of treasury shares—up to 20% of the company’s issued share capital.
5. Authorisation for the Board to repurchase the company’s shares and other securities.
6. Extension of the share-issuance mandate to include shares repurchased under Resolution 5.
No shareholders were required to abstain, and none indicated intentions to vote against any resolution in advance. The company held no treasury shares at the time of the meeting.
As of the AGM date, the Board comprised Executive Director and Chairman Mr Yao Yongjie; Non-Executive Directors Mr Chua Seng Hai, Ms Yu Zhuochen and Mr Yao Zeqian; and Independent Non-Executive Directors Mr Chu Chung Yue, Howard, Ms Liu Zhi and Mr Qi Xiaolei.
