B&K Corporation Limited announced plans to convert 21.68 million domestic shares—representing 18.43% of its total share capital—into H-shares for listing and trading on the Hong Kong Stock Exchange.
Six existing shareholders will participate in the conversion: • Chairperson Ms. Jia Lijia will convert 8.05 million shares (6.84% of total capital). • Mr. Wang Kelong will convert 0.82 million shares (0.70%). • Mr. Li Gewei will convert 8.40 million shares (7.14%). • Qingdao Huaren Gongchuang Partnership will convert 3.60 million shares (3.06%). • Hainan Huaren Gongying Partnership will convert 0.38 million shares (0.33%). • Jiaxing CDH Zhaoyun Partnership will convert 0.43 million shares (0.37%).
The company will seek shareholder approval for: 1. The full-circulation application to the China Securities Regulatory Commission (CSRC) and the Hong Kong Stock Exchange. 2. Authorising the board—and its delegates—to manage all related regulatory filings and procedures. 3. Amendments to the Articles of Association that formalise the board’s authority to approve future conversions of unlisted shares into overseas-listed shares without further general-meeting approval.
An extraordinary general meeting (EGM) is scheduled for Friday, 4 September 2026. The shareholder register will be closed from 1 September to 4 September 2026, with the record date set for 4 September 2026.
