粤港湾智算科技有限公司（01396）7月7日公告称，公司已按照2026年6月29日披露的认购协议条款完成新股配发及发行，共向五名投资者发行23,620,207股新股份，发行价为每股11.75港元。
本次发行的股份数量分别为：认购人A 4,896,799股、认购人B 1,702,128股、认购人C 6,808,512股、认购人D 5,106,384股及认购人E 5,106,384股。发行完成后，上述认购股份分别占公司经扩大后已发行股本的约0.31%、0.11%、0.43%、0.32%及0.32%。
发行完成前，公司已发行股本为1,560,084,673股；发行后增至1,583,704,880股。股权结构变化如下：
1. 中国粤港湾区控股有限公司持股维持414,665,566股，持股比例由26.58%摊薄至26.18%。
2. Champion Road Group Limited持股310,000,000股，持股比例由19.87%降至19.58%。
3. 新增认购人A至E合计持股23,620,207股，占比合计约1.49%。
4. 其他公众股东持股数量不变，为835,419,107股，持股比例由53.55%降至52.75%。
公司董事会确认，交易完成后公司公众持股量仍不少于扩大后已发行股本的25%。
