Great Harvest Flags 26 Aug 2026 AGM; Seeks 20% Share Issue Mandate and 10% Buy-Back Capacity

Great Harvest Maeta Holdings Limited has convened its annual general meeting (AGM) for 26 August 2026 at 11:00 a.m. in Sheung Wan, Hong Kong. Shareholders will vote on six ordinary resolutions that cover financial statements approval, board composition, auditor renewal and new capital mandates.

Key items on the agenda include:

1. Financial Statements • Shareholders will receive and consider the audited consolidated results of the Company and its subsidiaries for the year ended 31 March 2026, together with the reports of directors and the independent auditor.

2. Board Re-elections and Remuneration • Re-election of four directors: executive director Sze Wing Kin Pierre; non-executive director Yan Yui Ham; and independent non-executive directors Cheung Kwan Hung and Wong Tsui Yue Lucy. • Authorisation for the board to determine directors’ remuneration.

3. Auditor Re-appointment • Proposal to re-appoint Rongcheng (Hong Kong) CPA Limited as external auditor for the financial year ending 31 March 2027, with remuneration to be set by the board.

4. General Share Issuance Mandate • Directors seek authority to allot, issue or deal with additional shares— including any permitted sale or transfer of treasury shares—up to 20% of the Company’s issued share capital as at the date of the AGM. The mandate would remain valid until the next AGM, an earlier revocation by shareholders, or the statutory deadline to hold the next AGM.

5. Share Repurchase Mandate • Board seeks approval to repurchase, hold as treasury or cancel up to 10% of the Company’s issued shares outstanding as of the AGM date, effective for the same “Relevant Period” defined above.

6. Extension of Issuance Mandate • Conditional on the above two mandates passing, the share issuance limit could be increased by the amount of shares repurchased, potentially expanding the issuance headroom by a further 10%.

Administrative Details • The share register will be closed from 21 August 2026 to 26 August 2026 (both days inclusive). Share transfers must be lodged by 4:00 p.m. on 20 August 2026 to qualify for AGM attendance and voting rights. • Proxy forms must reach Union Registrars Limited no later than 11:00 a.m. on 24 August 2026. • The meeting will proceed unless a No. 8 (or higher) typhoon signal or a black rainstorm warning is hoisted at 7:30 a.m. on the meeting day.
