SEVEN ELEMENTS (01660) has announced the completion of its acquisition of all issued shares in Lizen Investment Advisory Company Limited, an asset management firm. All conditions precedent for the deal have been satisfied, with the transaction finalized on July 31, 2026.

Following the completion, the asset management company has become a wholly-owned subsidiary of SEVEN ELEMENTS, and its financial results will be consolidated into the group's financial statements. As of the closing date, the asset management firm continues to hold licenses issued by the Securities and Futures Commission under the Securities and Futures Ordinance for Type 4 (advising on securities), Type 5 (advising on futures contracts), and Type 9 (asset management) regulated activities.

The application for SEVEN ELEMENTS and its ultimate beneficial owner to become major shareholders of the asset management firm has been approved under Section 132 of the Securities and Futures Ordinance, and the transfer of related licenses has been completed. Additionally, the asset management firm holds a Qualified Foreign Institutional Investor (QFII) license issued by the China Securities Regulatory Commission, covering domestic securities investment. It also serves as the appointed investment manager for the Lizen Multi-Strategy Open-Ended Fund Company and holds 100% of the management shares in that fund.
