伊登软件控股有限公司(“伊登软件控股”，股份代号：1147)宣布，于2026年2月10日，其直接全资附属公司(“买方”)与港骏集团有限公司(“卖方”)签订股份转让协议，将以300万港元收购港骏科技有限公司(“目标公司”)全部已发行股份。

目标公司成立于1985年11月，主要业务包括企业软件订阅与授权、专业信息科技解决方案及信息科技培训服务等，拥有超过35年的行业经验。根据未审核财务资料，目标公司于2024年及2025年的收益分别约为2.46亿港元及2.24亿港元，除税后亏损净额分别约为166.64万港元及537.68万港元。收购完成后，目标公司将成为伊登软件控股间接全资附属公司，并将并入其财务报表。

伊登软件控股是一家综合信息科技解决方案及云与人工智能服务供应商，业务覆盖IT基础设施、IT实施与支持、云和AI等领域。收购目标公司旨在强化伊登软件控股在香港及更广泛地区的企业IT和云服务市场布局，并通过结合自研AI产品与目标公司成熟的软件销售、培训及客户渠道，加速集团整体业务增长。

董事会表示，此次收购事项于香港联合交易所有限公司证券上市规则第14章下构成须予披露交易，适用的百分比率不少于5%但低于25%。本项交易须遵守上市规则中的申报及公告规定。伊登软件控股认为各项条款公平合理，符合公司及股东的整体利益。
