The announcements cover four subscriptions within a 12-month period, leading to an aggregated transaction deemed discloseable under Listing Rules.

Beauty Farm Medical and Health Industry Inc. subscribed through its subsidiaries, Beijing Palaispa and Shanghai Beauty Farm Medical and Health, in amounts of RMB70.00 million on November 21, 2025; RMB10.00 million on November 28, 2025; RMB80.00 million on December 30, 2025; and an additional RMB80.00 million on February 13, 2026. The products are principal-guaranteed with variable returns and remain outstanding.

According to the company’s announcement, the decision was made to make efficient use of idle funds without adversely impacting daily operating requirements. Each individual subscription on a standalone basis did not meet thresholds for discloseable transactions; however, aggregating these subscriptions with the same counterparty and similar nature within a 12-month period exceeded 5% yet remained below 25%, thus constituting a discloseable transaction under Rule 14.22 of the Listing Rules.

All funds for these subscriptions were sourced from internal resources, and none involved proceeds from the company’s global offering. The board of directors stated that the terms are considered reasonable and will further optimize the use of available funds for the group’s overall benefit.
