中国电动汽车制造商极氪智能科技控股有限公司即将迎来重大变革。距离该公司登陆美股市场仅一年有余，控股股东吉利汽车控股有限公司宣布将其全面收购。
本周二，极氪正式公布并购方案。根据并购条款，极氪普通股股东可选择每股获得2.687美元现金，或换取1.23股吉利汽车股票。持有美国存托凭证（ADR）的投资人则每股可获得26.87美元现金或12.3股吉利汽车股票。需特别注意的是，每单位极氪ADR代表10股普通股。
尽管26.87美元的ADR收购价低于周一27.82美元的收盘价，但该报价已显著高于六月下旬低于26美元的交易水平。并购交易预计将于今年第四季度完成交割。
回溯2024年5月，极氪以每份ADR 21美元的价格完成美股IPO，当前市值约70亿美元。2024年全年，该公司共交付222,123辆电动汽车，尚未实现盈利。反观收购方吉利汽车，这家市值约230亿美元的中国车企2024年总销量达220万辆（其中180万辆销往中国市场），目前保持盈利状态。其旗下品牌矩阵除极氪外，还囊括沃尔沃、极星、路特斯科技等知名品牌。
二级市场数据显示，截至并购公告前，极氪股票年内累计下跌约2%，但过去12个月仍录得46%的涨幅。
