Bilibili Inc. (Bilibili) filed a Next Day Disclosure Return with the Hong Kong Stock Exchange on 7 September 2026, detailing equity movements between 1–4 September 2026.
From 1–4 September 2026 the company issued 182,620 new Class Z ordinary shares following employee option exercises under the 2018 Share Incentive Plan at an exercise price of USD 0.0001 per share. This lifted the Class Z share count to 338.99 million, while total issued share capital (including 79.70 million Class Y shares) rose marginally to 418.69 million shares.
On 4 September 2026 Bilibili executed a private-arrangement share repurchase of 6,795,540 Class Z shares at HKD 115.38 each, spending HKD 784.07 million. The repurchased stock represents 1.62 % of the company’s issued shares prior to the transaction and is intended for cancellation.
The buyback forms part of the repurchase mandate approved on 17 June 2026, which authorises the company to repurchase up to 41.69 million shares. The latest transaction utilises roughly 16.30 % of that capacity. Under Hong Kong listing rules, Bilibili is restricted from issuing additional shares or transferring any treasury shares until 4 October 2026.
Post-transaction, Bilibili holds no treasury shares. A further 6.35 million Class Z shares remain reserved for future issuance upon exercise or vesting of awards granted under the company’s share incentive schemes.
