CHINA CRSC Calls 8 Sep 2026 EGM to Elect New Board; Six Director Candidates Nominated

China Railway Signal & Communication Corporation Limited (CHINA CRSC) has issued a circular convening its third extraordinary general meeting (EGM) of 2026 for 2:30 p.m. on 8 September 2026 at the company’s Beijing headquarters (CRSC Building, Fengtai District). Shareholders will vote by poll, using the cumulative-voting method, on two ordinary resolutions covering election of six directors to constitute the company’s fifth Board session.

Key agenda

1. Election of three non-independent directors • Executive directors: Lou Qiliang (current Party Secretary & Chairman of CHINA CRSC; professorate senior engineer) and Dong Baoliang (current President & Deputy Party Secretary; senior engineer). • Non-executive director: Ding Shaobin (full-time external director of central SOEs; senior economist).

2. Election of three independent non-executive directors • Yao Cho Fai Andrew – Chairman & CEO of Hong Kong Shanghai Alliance; serving independent director of CHINA CRSC since Feb 2022. • Fu Junyuan – Former chief accountant of China Communications Construction; professor-level senior accountant and current independent director of CHINA CRSC. • Zhan Kai – External director of China Academy of Machinery Science and Technology Group; professor-level senior engineer.

Director mandates and remuneration

• Each elected director will serve a three-year term, aligned with the fifth Board session. • Executive directors will receive position-based salary, performance pay, social insurance and annuity from the company. • Non-executive director Ding Shaobin, as a full-time external director of a central state-owned enterprise, will not receive remuneration from CHINA CRSC. • Independent non-executive directors will receive an annual retainer of RMB0.10 million (committee chair) or RMB0.08 million (member), plus meeting allowances of RMB3,000 per Board meeting and RMB2,000 per committee meeting. Remuneration for former central-enterprise heads serving as external directors will follow relevant SASAC guidelines.

Shareholder arrangements

• Register of members closes 3 – 8 September 2026 (both days inclusive); the record date is 2 September 2026. • H-shareholders must lodge transfer documents with Computershare Hong Kong Investor Services by 4:30 p.m. on 2 September 2026 to qualify for attendance and voting. • Proxy forms must be submitted to Computershare by 2:30 p.m. on 7 September 2026; completing a proxy does not preclude in-person voting.

Board recommendation

The Board recommends shareholders vote in favour of all proposed director elections, citing each candidate’s professional expertise and compliance with Hong Kong Listing Rules’ independence criteria.
