9月26日，Tiscali Italia SpA和ExpertAi SpA两家公司宣布，已就Villanova.ai项目签署投资协议，协议将于10月1日起生效。
根据协议条款，Tiscali将向Villanova项目投入实物资产，包括有形资产、员工、合同以及技术知识。同时，Expert.ai将通过认购预留增资的方式，向Villanova.ai的股本投资120万欧元现金。
此外，Villanova.ai还将与Expert.ai签署商业协议，后者将为前者提供研究活动、开发支持以及产品和解决方案的商业化服务。
根据协议安排，Villanova.ai将转型为股份制公司。初期股权结构中，Tiscali将持有60%的投票权，Expert.ai持有40%的投票权。
随后，在获得意大利Golden Power授权的前提下，股权结构将进行调整：Tiscali将持有60%的股本和50%的投票权，Expert.ai将持有40%的股本和50%的投票权。
