NIRAKU (01245) announced that on September 18, 2025 (after trading hours), the seller NBI Regional Revitalization Investment Co., Ltd. (a non-wholly owned subsidiary of the company) entered into a trust beneficial right transfer agreement with the buyer SMFL MIRAI Partners Company, Limited (an independent third party) to transfer trust beneficial rights for a total consideration of 600 million yen (equivalent to approximately HK$31.8 million). The transfer is expected to take effect on September 30, 2025.
Under the agreement, the seller will transfer the trust beneficial rights to the buyer, while the buyer will acquire the trust beneficial rights from the seller for operating a hot spring hotel under the "Hotel Choeikan" brand name. The trust beneficial rights refer to 100% interest in the trust real estate as stipulated in the trust agreement between the seller and the trustee.
The trust real estate includes land located in Iwate-gun, Shizukuishi-machi, Japan, comprising 20 separate plots with a total area of approximately 7,192.21 square meters, and buildings constructed on the land, consisting of a 10-story hotel building with a total floor area of approximately 9,514.43 square meters.
The group periodically identifies strategic investment opportunities within its extensive hotel network to maximize shareholder value. The group acquired the land and buildings on April 17, 2025, for 358 million yen to further expand its hotel business. However, after considering current real estate market conditions and the consideration offered by the buyer, the board of directors believes that the disposal provides the group with an excellent opportunity to realize the value of the trust real estate at a reasonable price.
Furthermore, the proceeds from the disposal will enhance the group's financial position and increase the group's general working capital. The board considers the disposal to be a prudent and strategic investment decision that allows the group to capitalize on favorable market conditions and achieve substantial financial returns. This transaction aligns with the group's strategy of leveraging industry expertise and market insights to create value for shareholders.
The group intends to use the net proceeds from the disposal for general working capital or for investment purposes when relevant opportunities arise in the future.
