Jiu Rong Holdings Limited completed a series of open-market disposals of Sundy Service Group (SSG) shares between 16 October 2025 and 26 May 2026.
• Volume and Pricing: 58.97 million SSG shares were sold at HK$0.044–HK$0.092 per share, generating HK$3.36 million in gross proceeds (excluding transaction costs).
• Stake Impact: The divested shares equate to 1.54 % of SSG’s issued share capital. Post-transaction, Jiu Rong retains 33.85 million SSG shares, or approximately 0.88 % of SSG.
• Regulatory Classification: Aggregated percentage ratios under Chapter 14 of the Hong Kong Listing Rules exceed 5 % but remain below 25 %, qualifying the disposals as a discloseable transaction requiring announcement.
• Disposal Mandate Status: The sales were executed outside the 6 March 2025 Disposal Mandate, which set a HK$0.17 minimum price. Market levels during the disposal period rendered that mandate inapplicable.
• Use of Proceeds: Net proceeds of about HK$3.36 million are earmarked for general working capital.
• Rationale: Management cited macro-economic uncertainty and a strategic shift toward redeploying resources into other business segments, including digital video, new energy vehicles, cloud big data, property development and investment, and general trading.
• Counterparties: Shares were sold on the open market; buyers are independent third parties.
• SSG Snapshot: For FY 2025, SSG reported revenue of RMB231.41 million, profit attributable to owners of RMB17.31 million, and net assets attributable to owners of RMB410.59 million.
