Wison Engineering grants 70.56 million share options, equal to 1.73% of issued shares

Wison Engineering Services Co. Ltd. has approved the issuance of 70.56 million share options under its 2022 Share Option Scheme, according to a board announcement dated 8 May 2026.

The options carry an exercise price of HK$0.594, determined as the higher of: • the HK$0.560 closing price on the grant date, • the five-day average closing price of HK$0.594, and • the HK$0.10 nominal value per share.

Option holders may exercise the awards from their respective vesting dates until 7 May 2030. Vesting is staged as follows: 40% on 8 May 2027, 30% on 8 May 2028 and the remaining 30% on 8 May 2029, subject to both group-level and individual performance criteria set by the board.

Distribution of awards • Executive directors: 7.70 million options (3.50 million to Chairman & CEO Zhou Hongliang; 2.10 million each to Executive Directors Zheng Shifeng and Li Dun). • 190 other employees: 62.86 million options.

The total grant represents 1.73% of the company’s outstanding shares. After the issuance, 269.06 million shares, or 6.60% of current share capital, remain available for future grants under the scheme mandate limit.

The plan includes a claw-back mechanism that can cause all vested and unvested options to lapse in cases of dismissal, misconduct, breach of contract, disclosure of confidential information, or competition with the group.
